These Terms and Conditions (“Terms”) govern the relationship between Manuel Velazquez (“Consultant”), and you (“Client” or “User”). By accessing this website or purchasing any services or digital products, you agree to be bound by these Terms.
1. IDENTITY & CONTACT

2. SCOPE OF SERVICES: HYBRID MODEL
Consultant provides services under two distinct categories: Custom UX Consulting: Bespoke strategic services governed by a specific Statement of Work (SOW) or Proposal.Digital Products & Packaged Services: Immediate “one-click-buy” solutions, including templates, audits, and guides.
3. INTELLECTUAL PROPERTY & OWNERSHIP
The “Work for Hire” Provision: Upon receipt of full and final payment, Consultant assigns to Client all transferable rights, title, and interest in the final deliverables.Consultant’s Retained Rights: Consultant retains ownership of all “Background IP” (pre-existing methodologies, tools, and frameworks) and any rejected concepts, wireframes, or preliminary sketches not included in the final delivery.Moral Rights: To the extent permitted by law, Consultant retains all attribution rights to the work as the creator.
4. PROJECT MANAGEMENT & SCOPE CREEP
To ensure project velocity and UX excellence: Revision Policy: Custom consulting projects include up to two (2) rounds of revisions per phase. Additional requests will be billed at an hourly rate of [Insert Rate].Client Responsibilities: Client must provide feedback within 72 hours. Delays exceeding this window will result in an automatic day-for-day extension of all delivery deadlines.
5. PROJECT ABANDONMENT
Consultancy requires active partnership. If a Client fails to communicate or provide necessary assets for a period of six (6) consecutive weeks, the project will be deemed “Abandoned.” Result: The project will be terminated. All deposits and milestone payments made to date are non-refundable as liquidated damages for the reserved capacity.
6. PAYMENT TERMS & “GROSS-UP”
Consulting: 50% non-refundable deposit to initiate work; 50% due upon milestone completion or final delivery.Digital Products: 100% upfront payment via secure gateway.Processing Fees: All listed prices are “net” to the Consultant. A Gross-Up adjustment will be applied at checkout to cover third-party payment processing fees (e.g., Stripe, PayPal).
7. WARRANTIES & REFUNDS
Service Warranty: Consultant provides a 90-day technical warranty to ensure deliverables function as specified. This does not cover changes in business strategy or aesthetic preference post-approval.No Refunds on Digital Content: Due to the intangible nature of digital downloads, all sales of digital products are final. By initiating a download, Client waives any right to a “cooling-off” period or refund.
8. LIMITATION OF LIABILITY
UX Design is a service of professional means, not guaranteed business outcomes. Consultant is not liable for loss of revenue, data, or market share. Maximum Liability: In no event shall Consultant’s total liability exceed the actual amount paid by the Client for the specific service giving rise to the claim.
9. PRIVACY & DATA
Data collection is limited to what is necessary for service delivery and is handled in accordance with our Privacy Policy (compliant with relevant standards like CCPA/GDPR where applicable).10. GOVERNING LAW & JURISDICTIONThese Terms shall be governed by and construed in accordance with the laws of the Mexican Government, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Mexico City

Este documento regula la relación entre Manuel Velazquez (en adelante, “El Consultor”), con domicilio en la Ciudad de México y RFC activo bajo el régimen de Persona Física con Actividad Empresarial, y usted (en adelante, “El Cliente” o “El Usuario”). Al navegar en este sitio o adquirir cualquier servicio/producto, usted acepta estos términos en su totalidad.

2. MODELO HÍBRIDO DE SERVICIOS
El Consultor ofrece dos modalidades de contratación:
- Consultoría UX a medida: Servicios estratégicos personalizados sujetos a una propuesta técnica previa.
- Productos Digitales y Servicios Paquetizados: Soluciones de compra inmediata (“one-click-buy”) como plantillas, guías o auditorías exprés.
3. PROPIEDAD INTELECTUAL
De conformidad con la Ley Federal del Derecho de Autor:
- Derechos Morales: Pertenecen de forma inalienable a Manuel Velazquez.
- Derechos Patrimoniales (Transferencia): El Consultor transfiere los derechos de explotación de los entregables finales al Cliente única y exclusivamente tras la liquidación del 100% de los honorarios pactados.
- Propuestas Rechazadas: Todo material preliminar, wireframes no seleccionados, conceptos o metodologías mostradas durante el proceso que no formen parte del entregable final, permanecen bajo propiedad exclusiva del Consultor.
4. GESTIÓN DE EXPECTATIVAS Y ALCANCE (SCOPE CREEP)
Para garantizar la agilidad del diseño (UX), aplicamos las siguientes reglas:
- Rondas de Revisión: Cada fase de consultoría incluye un máximo de 2 rondas de ajustes. Cambios adicionales se cotizarán por separado.
- SLA de Respuesta: El Cliente se compromete a entregar feedback en un máximo de 72 horas. El incumplimiento de este plazo facultará al Consultor para extender los plazos de entrega proporcionalmente sin penalización.
5. POLÍTICA DE ABANDONO DE PROYECTO
La inactividad es un costo de oportunidad. Si el Cliente deja de interactuar o no entrega la información solicitada por un periodo de 6 semanas consecutivas, el proyecto se considerará formalmente abandonado.
- Consecuencia: No habrá derecho a reembolso del anticipo y el Consultor quedará liberado de cualquier obligación de entrega.
6. CONDICIONES DE PAGO Y “GROSS-UP”
- Consultoría: Esquema 50% de anticipo para inicio y 50% contra entrega de hitos finales.
- Productos Digitales: Pago del 100% por adelantado mediante pasarela de pago.
- Regla de Comisiones: Los precios mostrados son netos para el Consultor. Se aplicará la técnica de Gross-Up para cubrir las comisiones de pasarelas (Stripe, PayPal, etc.), las cuales serán desglosadas al momento del checkout.
7. GARANTÍA Y DERECHO DE RETRACTO
- Garantía Legal: Se otorga una garantía de 90 días naturales sobre errores técnicos en los entregables finales (no aplica para cambios de opinión estética o estratégica tras la aprobación).
- Productos Digitales: Debido a la naturaleza del contenido descargable, el Cliente renuncia expresamente a su derecho de revocación/devolución una vez que se haya iniciado la descarga o el acceso al contenido, conforme a la LFPC.
8. LIMITACIÓN DE RESPONSABILIDAD
El diseño UX es una disciplina de medios y estrategia, no de resultados económicos garantizados. El Consultor no se hace responsable por pérdidas de ingresos, variaciones en el mercado o decisiones de negocio tomadas por el Cliente basadas en las recomendaciones proporcionadas.
- Tope de Responsabilidad: En ningún caso la responsabilidad del Consultor excederá el monto total pagado por el Cliente por el servicio en cuestión.
9. PROTECCIÓN DE DATOS
Su privacidad es prioridad. El tratamiento de sus datos personales se rige por nuestro Aviso de Privacidad, en total cumplimiento con la LFPDPPP.
10. JURISDICCIÓN Y LEY APLICABLE
Para cualquier controversia derivada de estos términos, las partes se someten irrevocablemente a las leyes federales de México y a la jurisdicción de los Tribunales competentes de la Ciudad de México, renunciando a cualquier otro fuero por razón de su domicilio presente o futuro.
